Terms of Service.

By accessing or using any part of the Abundance AI platform or related services (collectively, the "Services") provided by Abundance AI, Inc. ("Abundance," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Services.

If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Abundance provides a synthetic data platform for robotics, including tools for scenario generation, data labeling, simulation, and model training. Features and availability may change without notice as we continue to develop the platform.

To access certain features you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use at security@abundance.ai.

You may not share your account with others, create accounts by automated means, or create an account if you have previously been suspended from the Services.

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload, transmit, or distribute content that is harmful, infringing, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to any portion of the Services or related systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Reverse engineer, decompile, or disassemble any part of the Services except as permitted by applicable law.
• Use the Services to train competing machine learning models or to build products that compete with Abundance without our prior written consent.

Certain Services are offered on a paid basis. Pricing is described on our website or in a separate order form. All fees are non-refundable except as expressly stated in these Terms or required by law. We may change our fees with reasonable advance notice. Failure to pay may result in suspension or termination of your account.

Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ABUNDANCE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ABUNDANCE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF ABUNDANCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ABUNDANCE'S AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO ABUNDANCE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Abundance and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, Your Content, or your breach of these Terms.

Either party may terminate the agreement at any time. Abundance may suspend or terminate your access immediately if you violate these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Services ceases and we may delete your data in accordance with our data-retention policies.

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

We may update these Terms from time to time. We will provide reasonable notice of material changes (e.g., via email or a prominent notice on the Services). Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of them.
